Terms of Use

These Terms of Use ("Terms") govern your access to and use of vaultpay.org.uk and any related services, content or communications provided by VAULT LIMITED (company number OE025824, registered office: 44 Esplanade, St Helier, Jersey, JE4 9WG), trading as VaultPay ("VaultPay", "we", "us"). By accessing the website or engaging us, you agree to these Terms. If you do not agree, you must not use the site or our services.

1. Nature of services

VaultPay provides merchant preparation, compliance review, documentation support and payment-partner coordination services. We are not a bank, an acquirer, a card scheme, an electronic-money institution or a regulated payment institution. We do not hold, transmit, settle or safeguard merchant funds. All payment processing, acquiring, settlement and merchant-account services are provided by independent third parties subject to their own contracts, fees, regulatory authorisations and approval criteria.

2. No guarantee of approval

Submitting an application or engaging our services does not entitle you to approval by any acquiring bank, processor or payment service provider. Approval, pricing, reserves, settlement terms, rolling holdbacks and ongoing monitoring are determined solely by the relevant third party in their absolute discretion. VaultPay makes no representation or warranty regarding outcomes, timelines or commercial terms.

3. Eligibility and merchant warranties

You warrant that (a) you have authority to bind the entity on whose behalf you submit information; (b) all information, documents and disclosures provided are true, accurate, complete and not misleading; (c) you are not subject to any sanction, embargo or prohibition that would render our engagement unlawful; (d) you operate a lawful business and will promptly inform us of any material change in ownership, products, geography or processing activity.

4. Acceptable use of the website

You must not (i) use the site for any unlawful purpose; (ii) attempt to gain unauthorised access to any portion of the site or its underlying systems; (iii) introduce malicious code; (iv) scrape, harvest or aggregate content without our written consent; (v) impersonate another person; (vi) interfere with the proper operation of the site; or (vii) reverse-engineer any tooling we make available.

5. Intellectual property

All content on vaultpay.org.uk, including text, graphics, logos, design elements and software, is owned by or licensed to VAULT LIMITED and protected by intellectual-property laws. You receive a limited, revocable, non-exclusive licence to access the site for lawful, non-commercial review. No other rights are granted.

6. Third-party content and links

The site may reference or link to third-party websites, regulators, card-scheme rules or partner platforms. We do not control and are not responsible for the content, accuracy, privacy practices or availability of any third-party resource.

7. Disclaimers

The site and our communications are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, VAULT LIMITED disclaims all warranties, whether express or implied, including merchantability, fitness for a particular purpose, accuracy, completeness and non-infringement. Information on the site is general guidance and does not constitute legal, regulatory, tax or financial advice. You must obtain independent professional advice before acting on any content.

8. Limitation of liability

To the maximum extent permitted by law, VAULT LIMITED, its directors, officers, employees and agents shall not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, loss of profits, loss of revenue, loss of goodwill, loss of data, business interruption or chargeback exposure arising from your use of the site, our services or any acquirer or processor decision. Our aggregate liability for any direct loss is capped at the fees actually paid to us in the twelve (12) months preceding the event giving rise to the claim.

9. Indemnity

You agree to indemnify and hold harmless VAULT LIMITED from and against any claim, loss, fine, penalty or expense (including reasonable legal fees) arising from (a) inaccurate or misleading information you provide; (b) your breach of these Terms; (c) your breach of any acquirer, processor or card-scheme rule; or (d) your unlawful conduct. This indemnity is in addition to the indemnity contained in our Indemnity & Risk Disclosure Agreement.

10. Suspension and termination

We may suspend or terminate your access to the site or our services at any time, without notice, where we reasonably suspect breach of these Terms, breach of law, fraud, misrepresentation, sanctions exposure or risk to our regulatory relationships.

11. Governing law and jurisdiction

These Terms are governed by the laws of Jersey. The courts of Jersey shall have exclusive jurisdiction over any dispute, save that VAULT LIMITED may bring proceedings in any jurisdiction where you, your assets or your business operate.

12. Changes

We may revise these Terms from time to time. The version posted on the site at the time of your visit applies to that visit. Material changes will be highlighted at the top of the page.
